Welcome to Mosaic!

Please read carefully these Terms of Service ("Terms") and our Privacy Notice (https://trymosaic.app/privacy) before using the services offered by Metatable Inc. ("Mosaic", "we", "us"). These Terms constitute a legally binding agreement between Mosaic and you ("User", "you", "your"), which governs your use of the Mosaic mobile application ("App") and all related services (collectively, "Services").

WHEN YOU AGREE TO THESE TERMS YOU ARE AGREEING (WITH LIMITED EXCEPTION) TO RESOLVE ANY DISPUTE BETWEEN YOU AND MOSAIC THROUGH BINDING, INDIVIDUAL ARBITRATION RATHER THAN IN COURT. PLEASE REVIEW CAREFULLY SECTION 10 "GOVERNING LAW AND DISPUTE RESOLUTION" BELOW FOR DETAILS REGARDING ARBITRATION.

By using our Services, you agree to be bound by these Terms and our Privacy Notice. If you do not agree to these Terms, do not access or use our Services.

1. Description of Services

a) What is Mosaic: Mosaic is a discovery-first AI platform that provides interactive AI-powered experiences ("Experiences") through a scrollable feed. Users can explore, tap, and engage with various AI mini-apps including photo transformations, room redesign, AI characters, coaches, and advisors—all without needing to write prompts or configure settings.

b) How It Works: Our Services allow you to interact with AI through multiple modalities: (i) text input for conversations and queries; (ii) voice input for hands-free interactions; and (iii) image uploads for visual AI experiences such as photo transformations and room redesign. These inputs are processed by our AI systems to generate responses, transformations, and interactive experiences.

c) AI Processing: Our Services utilize Google Gemini and other AI technologies to power Experiences. By using our Services, you acknowledge that your inputs (text, voice, and images) are processed by these AI systems to provide you with responses and generated content. Please refer to Section 8 (Third-Party Services) for more information.

d) AI Disclaimers: Important: AI-generated content may be inaccurate, incomplete, or unexpected. AI Characters, coaches, and advisors are for entertainment and exploration purposes only and do not provide professional legal, medical, financial, or other professional advice. Do not rely on AI-generated content for important decisions. Always consult qualified professionals for professional advice.

2. Eligibility

Our Services are not directed to children under 13 years of age. By using our Services, you represent and warrant that you are at least 13 years old. If you are between 13 and 18 years of age (or the age of majority in your jurisdiction), you represent that your parent or legal guardian has reviewed and agrees to these Terms on your behalf.

If we learn that we have collected personal information from a child under 13, we will promptly take steps to delete such information and terminate any associated access to our Services.

3. User Content and License

a) Your Content: "User Content" means any text, voice recordings, images, photos, or other content that you submit, upload, or provide through our Services. You retain ownership of your User Content. However, by providing User Content, you grant Mosaic a worldwide, non-exclusive, royalty-free, sublicensable license to use, process, store (temporarily), reproduce, and display your User Content solely for the purpose of providing and improving our Services.

b) AI-Generated Content: Content generated by AI in response to your inputs ("Generated Content") is provided for your personal, non-commercial use. You may use, share, and modify Generated Content for personal purposes. However, you acknowledge that: (i) similar Generated Content may be produced for other users; (ii) Generated Content may be subject to intellectual property limitations; and (iii) Mosaic makes no warranties regarding the accuracy, originality, or fitness for any purpose of Generated Content.

c) Voice Input: Voice input is processed in real-time to provide responses and is not stored on our servers after processing. By using voice features, you consent to the real-time processing of your voice input by our AI systems.

d) No Training on Your Data: We do not use your personal User Content to train our own AI models. Your inputs are processed to provide you with Services and may be subject to the data practices of our third-party AI providers as described in our Privacy Notice.

4. Prohibited Conduct and Content

Mosaic is designed for fun, discovery, and creative exploration. We expect all users to use our Services responsibly. You agree not to:

(a) Use our Services to create, upload, or share content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable;

(b) Create deepfakes, synthetic media, or manipulated images of real people without their consent, or use our Services to impersonate others;

(c) Use our Services to generate content that sexualizes minors or constitutes child sexual abuse material (CSAM);

(d) Attempt to circumvent, disable, or interfere with any content filtering, safety features, or security measures of our Services;

(e) Use our Services for any commercial purpose without our prior written consent;

(f) Use automated scripts, bots, or other means to access or scrape our Services;

(g) Reverse engineer, decompile, disassemble, or attempt to extract the source code of our Services;

(h) Violate any applicable laws, regulations, or third-party rights.

We reserve the right to remove any content and terminate access for users who violate these prohibitions. If you encounter content that violates these Terms, please report it to us at hello@trymosaic.app.

5. Mosaic Intellectual Property

Our Services, including all text, graphics, images, logos, icons, software, and other content provided by Mosaic ("Mosaic Content"), are owned by Metatable Inc. or its licensors and are protected by copyright, trademark, and other intellectual property laws. Except as explicitly stated in these Terms, Mosaic reserves all rights in and to our Services and Mosaic Content.

You may not: (i) copy, reproduce, distribute, or publicly display any part of our Services; (ii) modify or create derivative works based on our Services; (iii) sell, transfer, sublicense, or commercially exploit our Services; or (iv) use our Services other than as expressly permitted in these Terms.

6. Subscriptions and Payments

a) Subscription Plans: Mosaic may offer subscription plans that provide access to premium features and Experiences. Subscription terms, pricing, and features will be presented to you before purchase.

b) Billing and Auto-Renewal: Subscriptions are billed through the Apple App Store or Google Play Store. By purchasing a subscription, you agree that: (i) your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date; (ii) you will be charged through your App Store or Google Play account; and (iii) subscription fees are non-refundable except as required by applicable law or platform policies.

c) Cancellation: You may cancel your subscription at any time through your device's App Store or Google Play subscription settings. Cancellation will take effect at the end of the current billing period, and you will retain access to premium features until that time.

d) Refunds: Refund requests are handled by Apple or Google according to their respective refund policies. Please contact Apple Support or Google Play Support for refund inquiries.

7. Privacy

Your privacy is important to us. Please review our Privacy Notice at https://trymosaic.app/privacy to understand how we collect, use, and share your information when you use our Services.

8. Third-Party Services

Our Services utilize third-party AI technologies, including Google Gemini, to power AI Experiences. When you use our Services, your inputs may be processed by these third-party services in accordance with their terms and privacy policies. We encourage you to review Google's Privacy Policy and Terms of Service.

We are not responsible for the practices, content, or policies of third-party services. Your use of third-party features is at your own risk.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. WITHOUT LIMITING THE FOREGOING, WE EXPLICITLY DISCLAIM ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

We make no warranty that: (i) the Services will meet your requirements; (ii) the Services will be available on an uninterrupted, secure, or error-free basis; (iii) AI-generated content will be accurate, complete, reliable, or suitable for any purpose; or (iv) any defects in the Services will be corrected.

YOUR USE OF THE SERVICES IS AT YOUR OWN RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER MOSAIC NOR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SERVICE PROVIDERS WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, OR DAMAGES FOR LOST PROFITS, LOST REVENUES, LOST SAVINGS, LOST BUSINESS OPPORTUNITY, LOSS OF DATA OR GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE OR SYSTEM FAILURE, OR THE COST OF SUBSTITUTE SERVICES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT MOSAIC HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

To the maximum extent permitted by law, Mosaic's total liability arising out of or in connection with these Terms or from the use of or inability to use the Services shall not exceed the amounts you have paid to Mosaic for use of the Services in the twelve (12) months preceding the claim, or One Hundred Dollars ($100), whichever is greater.

11. Governing Law and Dispute Resolution

a) Governing Law: These Terms and any action related thereto will be governed by the Federal Arbitration Act, federal arbitration law, and the laws of the State of Delaware, without regard to its conflict of laws provisions.

b) Mandatory Arbitration of Disputes: We each agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or the use of the Services (collectively, "Disputes") will be resolved solely by binding, individual arbitration and not in a class, representative, or consolidated action or proceeding. You and Mosaic agree that the U.S. Federal Arbitration Act governs the interpretation and enforcement of these Terms, and that you and Mosaic are each waiving the right to a trial by jury or to participate in a class action.

c) Exceptions: As limited exceptions: (i) either party may seek to resolve a Dispute in small claims court if it qualifies; and (ii) each party retains the right to seek injunctive or other equitable relief from a court to prevent the infringement or misappropriation of intellectual property rights.

d) Arbitration Rules: The arbitration will be conducted by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, except as modified by these Terms. The AAA Rules are available at www.adr.org. Any arbitration hearings will take place in the county where you live, unless we both agree to a different location.

e) Class Action Waiver: YOU AND MOSAIC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. If this specific provision is found to be unenforceable, then the entirety of this arbitration section shall be null and void.

12. Indemnification

You agree to indemnify, defend, and hold harmless Mosaic, its officers, directors, employees, agents, and affiliates from and against any claims, disputes, costs, losses, liabilities, damages, expenses, and judgments (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

13. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms in the App and updating the "Effective as of" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms. If you do not agree to the changes, you must stop using the Services.

14. Termination

We may suspend or terminate your access to our Services at our sole discretion, at any time and without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason. Upon termination, Sections 3(b), 4, 5, 9, 10, 11, 12, and 15 will survive.

15. General Provisions

a) Entire Agreement: These Terms, together with our Privacy Notice, constitute the entire agreement between you and Mosaic regarding the Services and supersede all prior agreements and understandings.

b) Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

c) No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

d) Assignment: You may not assign or transfer these Terms without our prior written consent. Mosaic may freely assign or transfer these Terms without restriction.
